DR.VISOR Membership Agreement

 

WHEREAS:

The Service Provider offers digital showcasing services and support. 

The Clients wish to utilise the services provided by the Service Provider.

IT IS AGREED AS FOLLOWS:

1. Services Provided

1.1 The Service Provider agrees to provide digital showcase right and support to the Clients. The service provider shall offer digital showcasing services for clinics, hospitals, and doctors, allowing them to present their clinic names, areas of expertise, treatments, and location information without disclosing their contact details on DrVisor.com. All communication between the clinic and the patient will be conducted through DrVisor.com.

 

2. Term

2.1 This Agreement shall commence on [Start Date] and continue for an initial term of three months, during which the services shall be provided free of charge (the "Trial Period").

2.2 After the Trial Period, this Agreement will continue on a rolling monthly basis unless terminated in accordance with Clause 7 of this Agreement.

 

3. Fees

3.1 Following the Trial Period, the Clients agree to pay the Service Provider a fee of £7.99 per month (the "Service Fee").

3.2 The service fee shall be paid as a single payment covering a nine-month period following the trial, in exchange for displaying treatments and areas of expertise on DrVisor.com.

4. Payment Terms

4.1 The Clients shall make payments by direct debit or bank transfer to the account specified by the Service Provider.

4.2 All payments must be made within 14 days after trial period. Late payments may attract interest at a rate of 4% per annum above the Bank of England base rate.

 

5. Obligations of the Service Provider

5.1 The Service Provider shall use reasonable care and skill in providing the services.

5.2 The Service Provider shall comply with all applicable laws and regulations in the UK.

 

6. Obligations of the Clients

6.1 The Clients shall provide all necessary information and cooperation to the Service Provider for the effective provision of the services.

6.2 The Clients shall comply with all applicable laws and regulations in the UK.

7. Termination

7.1 Either Party may terminate this Agreement by giving one month's written notice to the other Party.

7.2 The Service Provider may terminate this Agreement immediately if the Clients fail to pay the Service Fee within 30 days of the due date.

8. Limitation of Liability

8.1 The Service Provider's total liability in respect of all claims arising out of or in connection with this Agreement shall not exceed the total amount paid by the Clients to the Service Provider in the 12 months preceding the date the claim arose.

8.2 The Service Provider shall not be liable for any indirect, special, or consequential losses, including loss of profit, loss of business, or depletion of goodwill.

9. Confidentiality

9.1 The Parties agree to keep confidential all information disclosed to each other that is marked or otherwise indicated as confidential.

10. Governing Law

10.1 This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.

11. Dispute Resolution

11.1 Any dispute arising out of or in connection with this Agreement shall be resolved through mediation in accordance with the Centre for Effective Dispute Resolution (CEDR) Model Mediation Procedure.

 

11.2 If the dispute is not resolved within 30 days of the commencement of mediation, the dispute shall be referred to and finally resolved by the courts of England and Wales.

 

12. Entire Agreement

12.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, negotiations, and discussions between the Parties relating to its subject matter.

13. Amendments

13.1 Any amendments to this Agreement must be made in writing and signed by both Parties.
